Terms of Service

These terms govern your use of Adeptra. By creating an account or using the service, you agree to them. See also our Privacy Policy.

1. Who we are

Adeptra is operated by Adeptra LLC, a Texas limited liability company (“Adeptra,” “we,” “us”).

2. What the service is

Adeptra audits a merchant’s online store for compliance with AI-shopping-agent standards and generates fix artifacts. Specifically:

  • Free audit — free to run, and you can re-run it whenever your store changes. We may limit how often re-runs can happen. Delivers a score, plain-language findings with a short summary of each fix, and a downloadable copy of the report. Does not include the step-by-step instructions or the fix package files. Re-running a store that hasn't changed shows your existing report instead of running a new audit. Free accounts can audit up to 3 stores.
  • Fix package — For one store: step-by-step instructions for each finding, and the ready-to-use files your developer puts in place.
  • Monitoring — an ongoing subscription that keeps checking a store after its first audit.

Paid services — the fix package and monitoring — are charged at the price shown to you, or agreed with you in writing, before you buy. We'll never charge you for anything you haven't agreed to.

3. What we deliver — and what we don’t guarantee

What we deliver is an audit of your store against the standards we check, and generated fix artifacts implementing our best current understanding of those standards. What we generate is documentation and code for you or your developer to implement — Adeptra does not modify your store directly. (This changes only for the specific case of a Google Merchant Center connection, once that integration ships — see our Privacy Policy, Section 4 — and only for the data you explicitly connect.)

What we do not guarantee, as a binding term of this agreement, not just marketing language: we make no guarantee of ranking, recommendation, placement, or visibility in any AI shopping surface, search engine, or assistant — ChatGPT, Google AI Mode, Gemini, Perplexity, Claude, or any other, present or future. Implementing every recommendation we generate does not guarantee any particular outcome on any third-party platform we do not control. We audit against published and observed standards; we do not control how any AI system chooses to rank, cite, or recommend any store.

4. Refunds

Full refund, no questions asked, until you download the fix package. No refund after. The download is the deliverable — once you have the report and artifacts in hand, the service has been delivered, and the purchase is final. This applies to the one-time fix package specifically; monitoring subscriptions may be cancelled at any time and are not billed for future periods after cancellation, but past periods are not refunded.

5. Account standing and suspension

We may suspend an account for violations of these terms, abusive use, non-payment, or fraud. A suspended account keeps read access to existing reports already generated; adding new stores, running new analyses, and downloading new fix packages are unavailable while suspended. We will state a reason when we suspend an account, and will reinstate it once the issue is resolved.

6. Your responsibilities

  • You must have the authority to register and authorize an audit of any store you submit.
  • You are responsible for reviewing and testing any generated artifact before deploying it to your own store.
  • You will not use the service to audit a store you do not own or have explicit authorization to audit.

7. Limitation of liability

To the maximum extent permitted by law, Adeptra’s total liability for any claim arising from your use of the service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost sales, arising from your use of the service or of any artifact we generate. The service is provided on an “as is” basis; we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

8. Changes to the service and these terms

We may update these terms as the service changes. We will update the effective date above when we do. Continued use of the service after a change constitutes acceptance of the updated terms.

9. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising from these terms or the service will be resolved in the state or federal courts located in Texas.

These terms describe our service and business practices as accurately as we can. They are not a substitute for legal advice, and have not yet been reviewed by an attorney — see our internal decision log for the specific review these terms are pending before launch.
